NBFC Compliance Calendar: RBI Returns & Due Dates Explained

The NBFC compliance calendar decoded — periodic RBI returns (DNBS), auditor certificates, board policies and filings by SBR layer, plus how to never miss a due date.

An NBFC’s relationship with RBI is a reporting relationship. Miss filings and you invite supervisory attention; file accurately and on time and you stay invisible — which is exactly where you want to be. This guide maps the compliance calendar every NBFC should run.

The filing universe: what NBFCs report

RBI returns for NBFCs revolve around the DNBS return series plus layer-specific disclosures:

  • Periodic financial returns — quarterly/monthly/annual depending on category and SBR layer (assets, liabilities, capital adequacy, asset quality)
  • Statutory auditor certificates — annual NOF, and certificates on specific compliance points
  • ALM returns — structural liquidity and interest-rate sensitivity statements
  • Ad-hoc disclosures — fraud reporting, large exposures, change events

Your exact set depends on your SBR layer (Base, Middle, Upper, Top) and category (ICC, MFI, HFC, etc.). There is no one-size calendar — which is why the first step of any compliance programme is mapping your obligations.

Beyond RBI: the other calendars

A complete NBFC compliance calendar also tracks:

  • Companies Act: board meetings, annual filing (AOC-4, MGT-7), statutory registers
  • Income tax & GST: advance tax, TDS, returns
  • Board policies: annual review dates for credit, KYC/AML, outsourcing, IT and grievance policies
  • Internal audit: cycle, reporting and action-taken tracking

Building a calendar that works

  1. Map obligations to owners — every filing needs a named preparer, reviewer and approver.
  2. Build in buffers — target internal deadlines 7–10 days before regulatory due dates.
  3. Archive acknowledgements — RBI filing receipts are your first line of defence in an inspection.
  4. Quarterly board reporting — a one-page compliance status note keeps the board (and RBI) confident.

Common failure patterns

  • Spreadsheet calendars nobody owns — the calendar must live in someone’s KRAs.
  • Last-day filing — portal glitches on due dates are legendary; file early.
  • Policy reviews skipped — outdated policies are an easy inspection finding.

Frequently asked questions

Do Base Layer NBFCs file fewer returns? Yes — obligations scale with the SBR layer, but core filings, auditor certificates and governance requirements still apply.

What is the penalty for late RBI filing? Late or inaccurate filing can attract monetary penalties and adverse supervisory remarks; repeated lapses affect your RBI standing.

Can compliance be outsourced? Preparation and tracking can be managed externally (see our managed NBFC compliance), but the board retains ultimate responsibility — that can’t be outsourced.
