How to Surrender an NBFC License: CoR Surrender Process Step by Step

The NBFC licence surrender process — exit planning, loan-book settlement, the CoR surrender application to RBI, timelines and post-surrender compliance.

Exiting an NBFC is a regulated project, not a board resolution. RBI will only cancel your Certificate of Registration when the book is settled, stakeholders are paid, and the paperwork is clean. Here’s the process, step by step.

Step 0: Choose the exit route

Before surrendering, compare three options honestly:

  1. Surrender the CoR — clean break; the licence has no residual value.
  2. Sell the NBFC — if the licence, however dormant, has buyer value (see our takeover guide).
  3. Dormancy — rarely sensible; compliance costs continue with zero revenue.

Step 1: Settle the loan book

The book must be run down through collections or transferred via assignment with proper documentation and borrower notices. RBI queries invariably focus here — every outstanding loan needs a documented disposition.

Step 2: Settle stakeholders

Creditors, any depositors, employees, and tax authorities. Obtain no-dues confirmations where possible; unresolved disputes delay cancellation.

Step 3: Board and shareholder approvals

Pass board and shareholder resolutions approving voluntary surrender, authorise signatories, and appoint the statutory auditor for surrender certifications.

Step 4: File the CoR surrender application

Submit the surrender application to RBI’s regional office with:

  • Board/shareholder resolutions
  • Statutory auditor certificates (NOF, asset-liability position, no public deposits)
  • Undertakings regarding pending litigation and contingent liabilities
  • Latest audited financials and filing status

Step 5: Manage RBI queries to cancellation

RBI verifies settlements and may inspect. Respond to queries until RBI issues the cancellation of CoR — only then is the exit complete.

Step 6: Post-surrender compliance

The tail nobody budgets for: final regulatory filings, record retention (keep everything — future queries happen), ROC steps, and MOA cleanup if the company continues non-financial business.

Realistic timeline

4–8 months from a settled book to cancellation; longer if the book or stakeholder settlements drag.

Frequently asked questions

Can we surrender with an outstanding loan book? No — RBI expects the book settled or properly transferred before cancellation.

What does surrender cost? Professional fees plus auditor certifications; far less than a year of compliance costs for a dormant NBFC.

Can the company do other business afterwards? Yes, after removing NBFC objects from the MOA and completing post-surrender compliances.
