Buying an NBFC vs Fresh Registration: Which Is Right for You?

Should you buy an existing NBFC or apply for a fresh licence? Honest comparison of timelines, costs, risks and RBI approvals for each route.

The two routes to owning an NBFC — fresh registration vs acquiring an existing one — differ on timeline, cost, risk and control. Here’s the honest comparison we give every client.

When fresh registration wins

  • You want a clean slate with zero legacy issues.
  • Your promoters easily meet fit-and-proper and NOF norms.
  • You have time — 12 months of runway doesn’t hurt the plan.
  • The business model needs a specific category that’s rarely available for sale.

When acquisition wins

  • Speed matters — you need to lend within two quarters.
  • A clean target exists in your category and geography.
  • You have diligence capability (or hire it — see our due diligence service).
  • The acquisition premium is less than a year of burn waiting for a CoR.

The risks nobody mentions

Acquisitions: evergreened NPAs, pending RBI correspondence the seller “forgot”, promoter share-title disputes, and tax demands that surface post-closing. Every one of these is detectable — with proper diligence. Skipping diligence to save a few lakhs on a multi-crore deal is the classic false economy.

Fresh registration: the silent risk is promoter fatigue — 12 months of costs with no revenue tests conviction. And a rejection restarts the clock.

The RBI approval both routes need

Fresh registration needs CoR approval; acquisition needs prior RBI approval for change in control and management. Neither route avoids the regulator — acquisition just changes which approval you seek.

Frequently asked questions

How much does an NBFC acquisition cost? Target prices vary widely by category, book quality and vintage — plus diligence and approval costs. Get a valuation sanity-check before signing a term sheet.

Can I buy only the licence and not the loan book? Deal structures vary; the book’s disposition is negotiated and RBI is informed. Clean structures are part of our takeover advisory.

Is a surrendered NBFC’s licence buyable? No — once the CoR is cancelled, there’s nothing to acquire. Targets must hold a valid CoR.
